As previously disclosed on a Current Report on Form 8-K filed on October 28, 2022, XWELL, Inc. (the “Company”) received a written notification on that date from the Listing Qualifications Department of the NASDAQ Stock Market LLC (“Nasdaq”) notifying the Company that the closing bid price for its common stock had been below $1.00 for 30 consecutive business days and that the Company therefore was not in compliance with the minimum bid price requirement for continued inclusion on The Nasdaq Capital Market under Nasdaq Listing Rule 5550(a)(2) (the “Bid Price Rule”). On October 12, 2023, the Company received a letter from Nasdaq stating that for ten consecutive business days, from September 28, 2023 to October 11, 2023, the closing bid price of the Company’s common stock was at least $1.00 per share. Accordingly, the Company has regained compliance with the Bid Price Rule, and this matter is now closed.
